Terms of Service

1. Subject and Parties

These Terms of Service ("Terms") govern access to and use of the Nectos platform, published by Adopt-AI SA, Rue du Pré-de-la-Bichette 1, 1202 Geneva, Switzerland ("Nectos", "we").

By accessing the Nectos platform or subscribing to a plan, the user ("you") accepts these Terms in full.

2. Service Description

Nectos is a Swiss-hosted AI SaaS platform allowing users to access AI assistants, create and query knowledge bases, activate web search features, and manage team access and administration.

The service is provided according to the pricing plans published at nectos.ch/en/pricing.

3. Account Access

3.1 Eligibility

The service is intended for adults and legal entities with the legal capacity to enter into binding contracts.

3.2 Account Security

You are responsible for keeping your credentials confidential and for all activity on your account. Report unauthorized use immediately to contact@nectos.ch.

4. Subscription and Billing

4.1 Plans and Pricing

Subscriptions are available at the prices published on nectos.ch at the time of purchase. Prices are in CHF, inclusive of applicable VAT.

4.2 Billing

Billing is monthly, per seat, at the start of each subscription period. Payment processing is handled by Payrexx AG (Switzerland).

4.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current monthly period. No pro-rata refunds are provided for the remaining period.

4.4 Price Changes

Nectos reserves the right to modify pricing. Changes will be notified by email at least 30 days before taking effect.

5. Acceptable Use

5.1 Permitted Uses

You may use Nectos for lawful professional purposes consistent with these Terms.

5.2 Prohibited Uses

You must not use Nectos to:

Generate, store or transmit illegal, defamatory, obscene content or content infringing third-party rights
Attempt to circumvent platform security measures
Use unauthorized automation or overload infrastructure
Infringe intellectual property rights
Engage in fraudulent or unlawful activities

6. Content Ownership

6.1 Your Content

You retain full ownership of all documents, data and content you upload to Nectos. You grant Nectos a limited, non-exclusive license to process this content solely for the purpose of providing the service to you.

6.2 No AI Training

Nectos formally commits to never using your content to train, fine-tune, or improve any AI model.

6.3 Nectos Intellectual Property

The Nectos service, interface, architecture and components are the exclusive property of Adopt-AI SA.

7. Privacy and Data

Data processing is governed by our Privacy Policy, which forms an integral part of these Terms.

8. Service Availability

Nectos targets 99.9% availability for Pro and Team plans. Contractual SLAs are available on Enterprise plans only.

9. Limitation of Liability

To the extent permitted by Swiss law:

Nectos does not guarantee the service will be error-free or uninterrupted
Total liability is limited to amounts paid in the 3 months preceding the claim
Nectos is not liable for indirect, consequential, or lost-profit damages

10. Governing Law and Jurisdiction

These Terms are governed by Swiss law. Disputes are subject to the exclusive jurisdiction of the Tribunal de première instance of the Canton of Geneva.

11. Changes to Terms

We may update these Terms. Material changes will be notified by email at least 30 days before taking effect.
